Terms of Service

1.1 Purpose and Scope

This Terms of Service Agreement (the “Agreement”) is a legally binding contract entered into by and between you (personally and, if applicable, on behalf of the entity for whom you are using the Platform, collectively referred to as “you”, “your”, or “User”) and tunyt (“Company,” “we,” “our,” or “us”). This Agreement governs your access to and use of the tunyt platform, including our website, mobile applications, application programming interfaces (APIs), payment facilitation services, event management software, and any associated services, features, or content (collectively, the “Platform” or “Services”).

1.2 Explicit Acceptance

By registering for an account, accessing the Platform, creating an event, purchasing a ticket, or utilizing any of the Services in any capacity, you acknowledge that you have read, understood, and entirely agree to be bound by this Agreement. If you do not agree with any provision, clause, or condition set forth in this Agreement, you are expressly prohibited from using the Platform and must immediately discontinue all access and use. Your continued use of the Platform constitutes your ongoing electronic signature and explicit consent to these terms.

1.3 The Core Legal Principle of tunyt

Important Notice:

tunyt operates exclusively as a technology infrastructure provider. We provide the digital tools, software environments, and payment gateways necessary for third parties to create, manage, discover, and sell tickets for various gatherings. tunyt is not an event organizer, producer, host, promoter, or venue operator. Organizers remain solely, exclusively, and entirely responsible for every aspect of their events, from inception to execution. Simultaneously, tunyt reserves broad, unilateral, and absolute rights to operate, moderate, suspend, verify, and protect the integrity of the Platform, its users, and its financial ecosystems.

1.4 Modification of Terms

tunyt reserves the right, at its sole and absolute discretion, to update, modify, amend, or replace this Agreement at any time. We will provide notification of any material changes by updating the “Effective Date” at the top of this document, posting a notice on the Platform, or sending an email to the address associated with your registered account. It is your strict obligation to review this Agreement periodically. Your continued use of the Platform following the posting of any modifications constitutes your explicit acceptance of the revised Agreement.

3.1 Age and Legal Capacity Requirements

The Platform and its Services are strictly not intended for use by children or minors. By creating an Account or utilizing the Platform, you represent, warrant, and covenant that you are of legal age to form a binding contract in your jurisdiction of residence (generally 18 years of age or older).

3.2 Corporate and Entity Authority

If you are accessing the Platform, creating an Account, or accepting this Agreement on behalf of a corporation, limited liability company, partnership, startup, or other legal entity, you represent and warrant that you are an authorized representative of that entity with the legal authority to bind the entity to this Agreement. In such cases, “you” and “your” will refer to the entity.

3.3 Accuracy of Registration Information

When creating an Account, you are strictly obligated to provide accurate, current, and complete information as prompted by the registration flow. You agree to maintain and promptly update your Account information to ensure it remains true, accurate, current, and complete at all times. Failure to do so constitutes a material breach of this Agreement, which may result in the immediate suspension or permanent termination of your Account, the freezing of payouts, or the unpublishing of your Events.

3.4 Account Security and Password Confidentiality

You are solely, entirely, and exclusively responsible for maintaining the strict confidentiality of your Account login credentials, passwords, and any associated multi-factor authentication (MFA) mechanisms. You agree to accept full responsibility for all activities, actions, and transactions that occur under your Account, whether authorized by you or not.

3.5 Unauthorized Access Notification

You must immediately notify tunyt in writing at contact@tunyt.com if you suspect, discover, or experience any unauthorized use of your Account, a breach of security, or the loss, theft, or unauthorized disclosure of your password. tunyt explicitly disclaims any and all liability for any loss, damage, or legal consequences arising from your failure to comply with this security obligation or from unauthorized access to your Account.

3.6 Account Transfer Restriction

Your Account is strictly personal or specific to your registered entity. You may not assign, sell, rent, lease, share, or otherwise transfer your Account, your Account credentials, or any rights granted under this Agreement to any third party without the prior, express, written consent of tunyt. Any attempted transfer in violation of this section shall be deemed null and void and will result in the immediate termination of the Account.

4.1 The SaaS (Software as a Service) Infrastructure Model

Under the SaaS Model, tunyt provides strictly the digital software infrastructure—such as event landing pages, ticket generation logic, and attendee management dashboards.

1. Merchant of Record: The Organizer integrates their own third-party payment gateway (e.g., Stripe, Razorpay) directly into the Platform. The Organizer operates as the absolute Merchant of Record (MoR) for all financial transactions.
2. Financial Liability: Because the transaction occurs entirely between the Attendee and the Organizer's chosen gateway, tunyt does not touch, hold, or route the primary ticket funds. Consequently, the Organizer is entirely, legally, and financially responsible for all chargebacks, payment disputes, fraud mitigation, refund processing, and compliance with the terms of their specific payment gateway provider.
3. Platform Access Fees: tunyt reserves the right to charge subscription fees, access fees, or per-ticket software facilitation fees under this model, which will be billed separately to the Organizer.

4.2 The Marketplace and Payment Facilitator Model

Under the Marketplace Model, the Organizer utilizes tunyt's embedded financial infrastructure to process ticket sales.

1. Merchant of Record: tunyt acts as the Merchant of Record for the initial transaction, collecting the gross ticket funds directly from the Attendees on behalf of the Organizer.
2. Deductions and Fees: tunyt shall automatically deduct a standard Platform Fee (currently set at 5% of the transaction value, subject to revision with notice), alongside any applicable payment processing fees and mandatory taxes (such as GST), prior to settling funds with the Organizer. Organizers may configure the Platform to absorb this fee or pass it on to the Attendee as a convenience charge.
3. Fund Settlement and Payouts: Net funds will be disbursed to the Organizer's verified bank account in accordance with our standard payout schedules (typically within 48 hours post-event completion), provided no policy violations, fraud flags, or regulatory holds have been triggered.

4.3 Right to Withhold or Delay Payouts

Regardless of the model chosen, tunyt reserves the absolute, unilateral right to delay, freeze, or indefinitely withhold financial payouts in the event of suspected fraud, excessive chargebacks, violation of these Terms, failure to pass Know Your Customer (KYC) compliance checks, or upon receipt of a lawful court order, subpoena, or directive from regulatory authorities.

5.1 Primary Assumption of Responsibility

You agree that you are the sole creator, producer, and operator of your Event. You represent and warrant that you possess all necessary skills, resources, and authority to execute the Event as advertised to your Attendees. You agree that tunyt shall never be construed as a co-organizer, sponsor, joint venturer, or partner in your Event.

5.2 Legal Compliance, Permits, and Licensing

You are strictly obligated to ensure that your Event, its venue, and its activities comply with all applicable local, municipal, state, national, and international laws, ordinances, and regulations. It is your sole responsibility to:

• Acquire all necessary government permits, zoning clearances, and health department approvals.
• Obtain all necessary licenses for the performance, broadcast, or playing of copyrighted material (including, but not limited to, ASCAP, BMI, or local equivalent music performance licenses).
• Ensure that the venue possesses valid occupancy certificates, liquor licenses (if applicable), and fire safety approvals.

5.3 Safety, Security, and Emergency Preparedness

The physical and psychological safety of Attendees is your exclusive responsibility. You warrant that you have conducted adequate risk assessments for your Event. You must provide appropriate security personnel, crowd control measures, medical personnel, and clearly communicated emergency evacuation protocols commensurate with the size and nature of your Event. tunyt assumes zero liability for physical injury, property damage, theft, or emotional distress occurring at, or en route to, your Event.

5.4 Third-Party Management (Vendors, Sponsors, Speakers)

You are solely responsible for the hiring, management, payment, and oversight of all third-party entities involved in your Event, including but not limited to venue operators, caterers, security firms, guest speakers, performers, and sponsors. tunyt is not a party to any contract or agreement you make with these third parties.

5.5 Tax Collection and Remittance Liabilities

You are exclusively responsible for determining any and all sales, use, amusement, value-added (VAT), goods and services (GST), excise, or other taxes, duties, and assessments (collectively, “Taxes”) that apply to your ticket sales. It is your sole obligation to calculate, collect, report, and remit the correct amount of Taxes to the appropriate local or national tax authorities. tunyt cannot and does not offer tax advice, and our platform's provision of tax-calculation fields does not shift this liability away from you.

6.1 Private Event Tier (Default Configuration)

Upon creation, all Events default to “Private” status.

• Accessibility: Private Events are strictly hidden from tunyt's internal search engines, public event discovery feeds, and external search engine indexing (e.g., Google). They are accessible exclusively via a direct URL link or direct digital invitation distributed by the Organizer.
• Verification: Because of their limited, closed-network nature, Private Events do not currently require manual platform approval or extensive Organizer KYC verification to begin basic operations.
• Limitations: tunyt reserves the right to impose ticketing limits or monetary caps on Private Events to mitigate fraud and money laundering risks.

6.2 Public Event Tier and Mandatory KYC Verification

If an Organizer wishes to list their Event publicly on tunyt's discovery interfaces to attract a broader audience, the Event must be explicitly converted to a “Public Event.”

• Stringent Verification Requirements: To publish a Public Event, the Organizer must successfully complete tunyt's Know Your Customer (KYC) verification protocol. This legally mandated process requires the submission of valid, government-issued identification, verified bank account details matching the Organizer's identity, Permanent Account Number (PAN) details (where applicable under Indian law), and GST registration information (where applicable).
• Manual Review and Approval: Public Events are subject to manual review by tunyt's Trust & Safety team prior to publication.

6.3 Unilateral Right to Approve, Reject, or Unpublish

Public listing on the tunyt Platform is a privilege, not an inherent right.

You explicitly acknowledge and agree that tunyt retains the absolute, unfettered right to:

1. Reject the publication of any Event during the manual review process.
2. Unpublish, remove, or de-rank any active Event at any time, without prior warning.
3. Revoke previously granted approvals if new information comes to light.
4. Execute these actions at our sole discretion, for any reason or no reason whatsoever, and no explanation or justification is required to be provided to the Organizer.

6.4 Disclaimer Regarding “Featured” Events

tunyt may, at its discretion, highlight, promote, or categorize certain Public Events as “Featured,” “Trending,” or “Top Picks.” You acknowledge that such algorithmic or manual highlighting does not constitute an endorsement, certification, recommendation, verification, or guarantee by tunyt regarding the Event's quality, safety, legality, or the Organizer's credibility. All Featured Events remain entirely and exclusively the Organizer's liability.

7.1 Organizer Content Ownership and Representations

You retain all applicable ownership rights, title, and interest in and to the Content you upload to the Platform, including but not limited to Event descriptions, promotional posters, company logos, photographs, video trailers, and audio files.

By uploading any Content to the Platform, you represent, warrant, and explicitly covenant that:

1. You are the sole and exclusive owner of all Content, or you have obtained all necessary licenses, clearances, consents, and permissions to use, display, and distribute the Content.
2. The Content does not and will not infringe, misappropriate, or violate any third party's patent, copyright, trademark, trade secret, moral rights, or other intellectual property rights, or rights of publicity or privacy.
3. The Content does not contain any material that is defamatory, libelous, obscene, or otherwise in violation of these Terms.

7.2 Broad License Granted to tunyt

In order to effectively operate the Platform, process ticketing, and display your Event to potential Attendees, tunyt requires certain operational rights to your Content. By utilizing the Platform, you hereby grant tunyt a worldwide, non-exclusive, royalty-free, fully paid-up, sublicensable (through multiple tiers), and transferable license to:

• Host, store, cache, route, transmit, and copy your Content within our server architecture.
• Format, modify, resize, or transcode your Content to ensure compatibility across various devices, web browsers, and mobile applications.
• Publicly display, perform, and distribute your Content across the Platform's discovery feeds, search results, and ticketing pages.

This operational license remains in effect for as long as your Content resides on the Platform. The license is revocable upon your explicit deletion of the Event or termination of your Account, subject to standard, commercially reasonable system caching, server backups, and archival data retention schedules required for legal compliance.

7.3 Default Opt-In for Platform Marketing and Promotional Usage

To drive growth and showcase the capabilities of the Platform, tunyt actively markets its services to future organizers, attendees, and investors. By default, you explicitly opt in and grant tunyt the perpetual right to utilize your Event's public-facing metadata and assets for tunyt's own corporate marketing, promotional, and analytical purposes.

This marketing license explicitly includes the right to use:

• Your Event's name, titles, and public descriptions.
• Your uploaded promotional posters, media, and logos.
• Aggregated, anonymized statistics regarding your Event (e.g., “Event X sold 5,000 tickets on tunyt”).

You agree that tunyt may deploy these assets across various mediums, including but not limited to our official website, social media channels, digital advertisements, physical banners, commercial case studies, and confidential investor pitch decks.

7.4 Mechanism for Marketing Opt-Out

tunyt respects your brand autonomy. If you are representing a highly confidential Event or simply wish to restrict tunyt from utilizing your brand assets in our marketing materials, you retain the absolute right to opt out. To exercise this right, you must submit a formal, written request to contact@tunyt.com with the subject line “Marketing Opt-Out Request,” specifying the exact Event URLs and Account details. tunyt will process such requests within a commercially reasonable timeframe and cease future marketing use of the specified assets.

8.1 Strictly Prohibited Events and Activities

The creation or promotion of Events related to the following categories is fundamentally incompatible with the Platform. Any attempt to host such Events will result in immediate termination of your Account without notice. You shall not utilize tunyt for:

1. Financial Scams and Predatory Schemes: Any form of Multi-Level Marketing (MLM), pyramid schemes, Ponzi schemes, “get rich quick” seminars, or unregulated investment offerings.
2. Illegal Substances: Events promoting, selling, or facilitating the use of illegal drugs, unregulated pharmaceuticals, or narcotics.
3. Sexually Explicit Content: Events centered around pornographic material, unregulated adult entertainment, or sexually explicit performances.
4. Hate Speech and Extremism: Events that promote violence, incite hatred, or discriminate against individuals or groups based on race, religion, ethnicity, sexual orientation, gender identity, or disability.
5. Illegal Activities: Any Event that facilitates, encourages, or conceals illegal acts under applicable law, including human trafficking, illegal gambling, or the unauthorized sale of firearms and weapons.

8.2 Restricted Events Subject to Discretionary Approval

Certain categories of Events carry inherent regulatory and reputational risks but may be permitted under strict conditions. These “Restricted Events” include:

• Events where alcohol is the primary focus or is sold/distributed.
• Political rallies, campaign fundraising, or partisan gatherings.
• Religious gatherings or spiritual ceremonies.

You may only host Restricted Events if they are entirely lawful in the jurisdiction where they occur, and you possess all legally mandated permits, age-verification protocols, and government approvals. Notwithstanding your legal compliance, tunyt reserves the absolute, unfettered right to reject, unpublish, or refuse service to any Restricted Event at its sole discretion, without providing a justification.

8.3 Progressive Enforcement and Immediate Termination

tunyt actively monitors the Platform for compliance. For standard, non-severe policy violations (e.g., minor formatting issues, listing errors), tunyt generally employs a progressive enforcement model consisting of a Warning → Penalty (e.g., temporary demotion) → Account Suspension → Permanent Ban.

However, tunyt explicitly reserves the right to bypass the progressive enforcement model and execute immediate Account termination, without prior notice or right to cure, for severe violations. Severe violations include, but are not limited to:

• Confirmed or highly suspected fraud, identity theft, or financial scams.
• Excessive chargeback rates or deliberate chargeback abuse.
• Hosting of Strictly Prohibited Events (as defined in Section 8.1).
• Issuing severe threats, harassment, or abusive behavior toward tunyt staff or other Users.
• Any activity that, in tunyt's sole judgment, creates an immediate legal, financial, or severe reputational risk to the Platform.

In the event of immediate termination for severe violations, tunyt will permanently ban your access, freeze any pending payouts indefinitely to cover potential refunds or regulatory fines, and fully cooperate with law enforcement authorities, including turning over all Account data and transactional records.

9.1 “As Is” and “As Available” Basis

The Platform, its software, APIs, and all associated services are provided on a strictly “as is” and “as available” basis. To the maximum extent permitted by applicable law, tunyt expressly disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

9.2 Specific Disclaimers

Without limiting the foregoing, tunyt makes no warranty, representation, or guarantee:

1. That the Platform will meet your specific requirements or expectations.
2. That the Platform will be uninterrupted, timely, secure, or completely error-free.
3. That any defects or errors in the software or platform architecture will be immediately corrected.
4. Regarding the success, profitability, or attendance levels of any Event hosted via the Platform.
5. Regarding the safety, quality, legality, or suitability of any venue, speaker, sponsor, or Attendee associated with any Event.

9.3 Third-Party Links and Services

The Platform may contain links to third-party websites, payment gateways, or services that are not owned or controlled by tunyt. tunyt assumes no responsibility for the content, privacy policies, or practices of any third-party websites or services. Your interactions with such third parties are strictly between you and them.

10.1 Cap on Liability

In jurisdictions that do not allow the exclusion or limitation of certain damages, tunyt's liability shall be limited to the maximum extent permitted by law. In no event shall tunyt's total, aggregate liability to any User for all claims arising out of or relating to these Terms or use of the Platform exceed the greater of: (a) the total Platform Fees retained by tunyt from your specific Events in the three (3) months immediately preceding the event giving rise to the claim; or (b) One Thousand Indian Rupees (₹1,000 INR).

13.1 Governing Law

This Agreement, and any disputes arising out of or related hereto, shall be governed by, construed, and enforced in accordance with the laws of the Republic of India, without regard to its conflict of law principles.

13.2 Exclusive Jurisdiction

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Platform shall be instituted exclusively in the competent courts located in Ludhiana, Punjab, India. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts, including any defense of forum non conveniens.

13.3 Class Action Waiver

You and tunyt agree that each may bring claims against the other only in your or its individual capacity and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding.

14.1 Severability

If any provision of this Agreement is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions of this Agreement will remain in full force and effect.

14.2 Force Majeure

tunyt shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargos, acts of civil or military authorities, fire, floods, accidents, strikes, widespread internet outages, or shortages of transportation facilities, fuel, energy, labor, or materials.

14.3 Entire Agreement

These Terms of Service, combined with the Privacy Policy, Payments & Payouts Policy, Refund & Cancellation Policy, and Event Listing & Content Policy, constitute the entire, complete, and exclusive agreement between you and tunyt regarding your use of the Platform, superseding any prior agreements, communications, or understandings, whether written or oral.
